Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TideCRE web application and related services (the "Service"), operated by TideCRE, Inc. ("TideCRE", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

TideCRE is an analytical tool, not financial advice. The Service helps you model real estate investments. It does not provide investment, brokerage, tax, legal, accounting, or appraisal advice, and using it does not create an advisory or fiduciary relationship. All investment decisions are yours alone.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the activity under your account and for keeping your credentials secure. Authentication is handled by our identity provider (Clerk); your use of it is subject to its terms.

2. The Service

TideCRE lets you upload documents (such as offering memoranda, rent rolls, and tax bills), uses AI to extract and structure the data within them, and produces financial projections — including DCF models, IRR, cash-on-cash, DSCR, sensitivity analysis, expense benchmarks, and offer pricing.

  • Outputs are estimates generated from the inputs and assumptions you provide or accept.
  • Extracted values, benchmarks, and projections may contain errors and are not guaranteed to be accurate, complete, or current.
  • You are responsible for independently verifying every figure before relying on it.

3. Your content

You retain ownership of the documents and data you upload ("Your Content"). You grant us a limited license to host, process, and analyze Your Content solely to operate and improve the Service for you. You represent that you have the right to upload Your Content and that doing so does not violate any law or any confidentiality obligation you owe to a third party.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any third party's rights.
  • Reverse engineer, scrape, or attempt to access the Service or its data other than through the interfaces we provide.
  • Interfere with, disrupt, or place undue load on the Service.
  • Resell or redistribute the Service or its outputs in a way that competes with TideCRE.

5. Subscriptions & billing

Paid plans are billed through Stripe on a recurring basis (monthly or annual) at the rates shown on our pricing page. By subscribing, you authorize us to charge your payment method on each renewal until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. We may change prices with reasonable advance notice, effective on your next renewal.

6. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by TideCRE and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that outputs will be accurate or reliable, or that the Service will be uninterrupted or error-free.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDECRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR INVESTMENT LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

10. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and TideCRE agree to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for any dispute arising out of or relating to these Terms or the Service.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance.
